These Terms of Service ("Terms") govern your access to and use of the BANKD mobile application and website (the "Service") operated by Bankd Holdings, Inc. ("BANKD", "we", "us", or "our"). By using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you are not prohibited from using the Service under applicable law in your jurisdiction.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete information during registration.
• Maintain the security of your account credentials.
• Promptly notify us of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

3. Trading Activities

Risk Disclosure: Trading perpetual futures and leveraged products involves substantial risk of loss and is not suitable for all investors. You may lose more than your initial deposit. You should carefully consider whether trading is appropriate for you in light of your financial condition.

• All trades are executed on third-party exchange infrastructure. We act as an interface to this infrastructure and do not operate an exchange ourselves.
• Prices displayed on the Service are sourced from third-party providers and may differ from prices on other platforms.
• Leverage amplifies both gains and losses. Positions may be liquidated automatically if margin requirements are not met.
• Past performance is not indicative of future results.
• We do not provide investment advice, trading recommendations, or financial guidance.

4. Deposits and Withdrawals

• Deposits are facilitated through blockchain wallet addresses generated for your account.
• You are solely responsible for sending funds to the correct address on the correct network.
• Funds sent to incorrect addresses or unsupported networks may be permanently lost and are not recoverable by us.
• Auto-bridging services may involve third-party protocols. We are not responsible for delays or losses arising from third-party bridge infrastructure.
• Minimum deposit amounts may apply.

5. Social Features

The Service includes social features such as a trade feed and leaderboard. By using these features:

• Your username, profile photo, and trading activity may be visible to other users.
• You agree not to use social features to manipulate markets, mislead other users, or engage in fraudulent activity.
• Information shared by other users on the platform does not constitute investment advice.

6. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Attempt to manipulate markets, engage in wash trading, or conduct fraudulent transactions.
• Use automated tools, bots, or scripts to interact with the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any systems or networks connected to the Service.
• Impersonate another person or entity.
• Use the Service if you are located in a jurisdiction where such use is prohibited.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Bankd Holdings, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of the Service without our express written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANKD HOLDINGS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Bankd Holdings, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

11. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

12. Termination

We may suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
